Terms of Service for Organizers

These Terms of Service for Organizers (the “Organizer Terms”) govern your access to and use of the Rad Races organizer platform, event listing tools, registration tools, organizer dashboards, communications features, and related services (collectively, the “Services”).
Rad Races is operated by Rad Works Inc, operating as Rad Races (“Rad Races,” “we,” “us,” “our”).

By creating an organizer account, publishing an event, enabling registration, or otherwise using the Services as an organizer, you agree to these Organizer Terms.
1. Acceptance and changes
1.1 Binding agreement
These Organizer Terms form a binding agreement between you and Rad Works Inc o/a Rad Races.
1.2 Changes
We may update these Organizer Terms from time to time by posting an updated version and changing the “Last updated” date. Your continued use of the Services after changes become effective means you accept the updated Organizer Terms.
1.3 Authority
If you use the Services on behalf of an organization, you represent you have authority to bind that organization.
2. Definitions
- Organizer / you: the individual or entity using the Services to create, list, manage, or promote an Event, including staff, contractors, volunteers, and administrators you authorize.
- Event: any event, race, fundraiser, virtual event, or related activity published or managed using the Services.
- Registrant: a person registering for, purchasing, or donating through your Event.
- Order: a registrant checkout or transaction for an Event.
- Order Item: an individual line item within an Order, such as a ticket/entry, add-on, product, or other item sold through the Services.
- Payments: amounts paid by Registrants in connection with an Order (entry fees, add-ons, products, taxes, shipping, donations, and other amounts you configure).
- Platform Fees: fees charged by Rad Races for use of the Services.
- Processing Fees: fees charged by payment processors, card networks, banks, or other payment partners.
- Stripe Connect: Stripe’s connected account services that enable payment processing for your Event(s).
3. Platform role; Organizer is Merchant of Record
3.1 Organizer is Merchant of Record
You (the Organizer) are the merchant of record for all Orders and Payments processed in connection with your Event(s). The Registrant’s purchase/registration is a transaction between the Registrant and you, not Rad Races.
3.2 Technology provider only
Rad Races provides software tools to help you publish Event pages, accept registrations, and manage Orders. Rad Races is not responsible for Event operations, safety, permitting, insurance, or fulfillment.
3.3 No endorsement
We do not endorse any Event and do not guarantee attendance, sales, or outcomes.
4. Accounts, administrators, and security
4.1 Accurate information
You must provide accurate and complete account, Stripe Connect, payout, and Event information and keep it updated.
4.2 Administrator access
You are responsible for any activity conducted under your account, including by administrators or collaborators you invite.
4.3 Security
You must safeguard credentials and notify us promptly of suspected unauthorized access.
5. Organizer responsibilities
5.1 Event accuracy and delivery
You are solely responsible for:
- the accuracy of your Event listing (date/time/location, rules, pricing, capacity, eligibility, course details);
- your refund/deferral/transfer/cancellation policies and communications;
- obtaining permits, approvals, insurance, waivers, and safety/medical plans; and
- delivering all goods/services sold (entries, merchandise, add-ons) and handling Event operations.
5.2 Compliance with law
You will comply with all applicable laws and regulations, including consumer protection, fundraising/charity rules (if applicable), and privacy/anti-spam laws (including CASL where applicable).
5.3 Support
You are responsible for registrant customer support, including inquiries, refund requests, and disputes.
6. Fees, Stripe Connect, monthly payouts, refunds, and disputes
6.1 Platform Fees (charged to Registrants at checkout)
Unless otherwise agreed in writing, Rad Races charges the following Platform Fees for Orders processed through the Services:
- 7% of applicable amounts, plus
- $1.00 per Order Item.
Platform Fees are charged to the Registrant at checkout as a separate fee (or as otherwise displayed in checkout). You authorize Rad Races to calculate, display, collect, and receive Platform Fees in connection with Orders processed through the Services.
6.2 Processing Fees
Processing Fees are charged by Stripe and/or other payment partners. Processing Fees are separate from Platform Fees and may apply to amounts paid by Registrants and/or transferred to you, depending on how your Event is configured and Stripe rules.
6.3 Stripe Connect
- To process Payments through the Services, you must connect (and maintain) a Stripe Connect account and comply with Stripe’s terms and requirements.
- You authorize Rad Races to facilitate payment processing through Stripe Connect for your Event(s), including passing transaction details, creating charges consistent with your Event settings, and configuring payout schedules where supported by Stripe.
6.4 Funds flow; no custody by Rad Races
You acknowledge that payment processing is performed by Stripe, and that Stripe may hold, delay, or reverse funds in accordance with Stripe’s terms, card network rules, and applicable law. Rad Races is not a bank and does not provide escrow services.
6.5 Monthly payout cadence
- Payouts to Organizers are scheduled monthly where supported by Stripe Connect settings and your verification status.
- Actual payout timing may vary based on Stripe’s processing timelines, banking timelines, verification, reserves/holds, chargebacks, refunds, and holidays.
6.6 Verification and holds
You agree that Stripe and/or Rad Races may require identity and business verification, additional documentation, and updated payout details. Stripe may place reserves, holds, or payout delays to manage risk, disputes, compliance, or abnormal transaction activity.
6.7 Organizer self-serve refunds
- The Services may allow you to issue self-serve refunds.
- You are responsible for your refund policy and ensuring refunds comply with applicable law and are clearly disclosed to Registrants.
- Refunds will be processed through Stripe, and you acknowledge Stripe’s rules may limit or affect refund timing and eligibility.
6.8 Funding refunds; negative balances
Refunds reduce your available balance. If your available balance is insufficient to cover refunds, disputes, chargebacks, or related fees, you authorize Stripe and/or Rad Races (to the extent permitted by Stripe Connect) to recover amounts from future balances/payouts and you agree to promptly resolve any negative balance.
6.9 Chargebacks and disputes
Because you are the merchant of record, you are responsible for chargebacks, disputes, reversals, and related fees connected to your Orders. You authorize Rad Races and/or Stripe to use information available in the Services to respond to disputes and to debit your balances for chargeback losses and fees.
6.10 Offsets and collections
If you owe Rad Races any amounts payable by you under these Organizer Terms (for example, amounts arising from misuse, fraud, policy violations, or other organizer-caused losses), you authorize us to seek reimbursement, including by invoicing you and/or using any lawful remedies available.
6.11 Fee changes
We may change Platform Fees with notice (dashboard notice, email, or posting). Changes will apply prospectively from the effective date stated in the notice.
7. Content, intellectual property, and licensing
7.1 Your Content
You retain ownership of content you provide (event details, logos, images, copy, policies, communications, etc.). You grant Rad Races a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, distribute, and adapt your Content solely as necessary to operate, promote, and improve the Services and to display and market your Event listing.
7.2 Permissions
You represent you have all rights necessary to provide your Content and that it does not infringe third-party rights.
7.3 Rad Races IP
The Services (including software, design, and trademarks) are owned by Rad Races or its licensors. You may not copy, reverse engineer, scrape, or misuse the Services except as permitted by law.
8. Acceptable use
You must not:
- engage in fraud, deceptive practices, or misleading marketing;
- violate laws or third-party rights;
- upload malware or interfere with the Services;
- scrape or harvest data without authorization; or
- misuse Registrant personal information.
We may remove content, unpublish Events, suspend features, place holds, or restrict access if we reasonably believe there is a violation, fraud, illegality, or unacceptable risk.
9. Communications and marketing compliance
If you use email/SMS/marketing features (whether provided by Rad Races or integrated tools), you are responsible for obtaining required consents and complying with all applicable marketing laws (including CASL, CAN-SPAM, and applicable telecom rules) and honoring opt-out requests.
10. Third-party services
The Services integrate with third-party services such as Stripe Connect. Rad Races is not responsible for third-party outages, errors, or actions, including Stripe’s decisions regarding verification, reserves, holds, chargebacks, or payout timing.
11. Suspension and changes to Services
We may modify, suspend, or discontinue any part of the Services at any time. To the maximum extent permitted by law, Rad Races will not be liable for such changes.
12. Termination
12.1 By you
You may stop using the Services at any time, subject to outstanding obligations, dispute windows, and Stripe requirements.
12.2 By Rad Races
We may suspend or terminate your access if you breach these Organizer Terms, create unacceptable risk, or fail to pay amounts due.
12.3 Survival
Sections relating to fees, chargebacks/disputes, content licenses, IP, indemnity, disclaimers, limitation of liability, and governing law survive termination.
13. Indemnity
You agree to defend, indemnify, and hold harmless Rad Works Inc o/a Rad Races, its affiliates, officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to:
- your Event(s) and Event operations;
- your Content;
- your breach of these Organizer Terms or violation of law; and/or
- disputes, refunds, chargebacks, or claims brought by Registrants or third parties relating to your Event(s).
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAD RACES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Rad Races does not warrant that the Services will be uninterrupted, secure, or error-free.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- RAD RACES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND
- RAD RACES’ TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE PLATFORM FEES RECEIVED BY RAD RACES FROM YOUR EVENT(S) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $100 CAD, WHICHEVER IS GREATER).
16. Release
To the maximum extent permitted by law, you release Rad Races from claims arising from disputes between you and Registrants or other third parties (including sponsors, volunteers, venues, and timing providers).
17. Privacy and data protection
17.1 Roles (Controller/Processor)
For personal data of Registrants processed through the Services for your Event(s), you are the Controller and Rad Races is your Processor. Rad Races processes personal data on your behalf to provide and support the Services, as described in Schedule 1 (Data Processing Addendum).
17.2 Exported data
If you export or otherwise use Registrant personal data outside the Services, you are responsible for that data and for complying with applicable privacy laws and maintaining appropriate safeguards.
17.3 Security
You will maintain reasonable administrative, technical, and organizational safeguards to protect personal data you access.
18. Notices and contact
We may provide notices electronically (email, dashboard notifications, or postings). You are responsible for keeping your account contact information current.

19. Governing law and venue
These Organizer Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute must be brought in the courts located in Ontario, Canada, and you consent to that jurisdiction and venue.
20. General
20.1 Entire agreement
These Organizer Terms and referenced policies are the entire agreement between you and Rad Races regarding the Services.
20.2 Severability
If a provision is unenforceable, the remainder remains in effect.
20.3 No waiver
Failure to enforce a provision is not a waiver.
20.4 Assignment
You may not assign these Organizer Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.
20.5 Force majeure
Neither party is liable for delays or failures due to causes beyond reasonable control.
Schedule 1 — Data Processing Addendum (Organizer = Controller; Rad Races = Processor)
This Schedule applies where Rad Races processes personal data on your behalf in connection with Registrants and your Event(s), under applicable privacy laws.
1. Roles
Organizer is the Controller. Rad Races is the Processor.
2. Subject matter and duration
Processing is limited to providing the Services during the term of the Organizer Terms.
3. Nature and purpose
Processing to enable Event listing, registration, Order management, communications tools, reporting/analytics within the Services, and customer support.
4. Categories of data subjects
Registrants, purchasers, donors, team captains, and other participants whose data you collect via the Services.
5. Types of personal data
May include name, contact details, registration details, purchases/order history, bib/team information, custom question responses (as configured by you), transaction metadata, and communications.
6. Documented instructions
Rad Races will process personal data only on your documented instructions (including your configuration of Events and use of organizer tools), unless required by law.
7. Confidentiality
Rad Races will ensure personnel authorized to process personal data are bound by confidentiality obligations.
8. Security
Rad Races will implement appropriate technical and organizational measures designed to protect personal data against unauthorized access, disclosure, alteration, and loss.
9. Sub-processors
You authorize Rad Races to use sub-processors (e.g., hosting, email delivery, monitoring, customer support tooling, and payment infrastructure). Rad Races will impose data protection obligations on sub-processors consistent with this Schedule.
10. Assistance
Rad Races will provide reasonable assistance, where practicable, with:
- data subject requests (access, deletion, correction) where applicable; and
- incident response and relevant information to support your compliance.
11. Breach notification
Rad Races will notify you without undue delay after becoming aware of a personal data breach affecting data processed under this Schedule.
12. Return/deletion
Upon termination, Rad Races will delete or return personal data as required/feasible, subject to legal retention obligations and legitimate operational needs (e.g., fraud prevention and dispute handling).
13. International transfers
Where cross-border transfers occur, Rad Races will implement lawful transfer mechanisms where required.
